1. Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you and BookedTV, Inc. ("BookedTV," "we," "us," or "our"). By creating an account, accessing, or using the BookedTV platform at bookedtv.com (the "Platform"), you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Who We Are

BookedTV operates a B2B marketplace that connects brands and advertisers ("Brands") with local television show producers and stations ("Stations") for the purpose of booking sponsored segments, product placements, and related advertising opportunities.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts on behalf of yourself or the business you represent. By using the Platform, you represent and warrant that you meet these requirements. The Platform is intended for business use only and is not a consumer service.

4. Account Registration

You must register for an account to access most Platform features. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@bookedtv.com of any unauthorized use.

We offer two account types: Brand accounts (for advertisers seeking TV exposure) and Station accounts (for TV show producers and broadcasters listing sponsorship opportunities). Each account type has distinct features and obligations described throughout these Terms.

5. Subscriptions and Payments

Access to certain Platform features requires a paid subscription. Subscription plans, pricing, and billing intervals are described on our pricing page and may be updated from time to time. All payments are processed securely by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

• Subscriptions renew automatically at the end of each billing period unless cancelled before renewal.
• You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period; no partial refunds are provided for unused time.
• We reserve the right to change subscription pricing with at least 30 days' notice to active subscribers.
• All fees are exclusive of applicable taxes, which you are responsible for paying.

6. Booking Transactions

When a Brand submits a booking request to a Station, the request is not confirmed until the Station explicitly accepts it. BookedTV facilitates introductions and communications between Brands and Stations but is not a party to the underlying sponsorship agreement. The terms of any sponsored segment — including content requirements, airing schedules, deliverables, and payment — are agreed directly between the Brand and the Station.

BookedTV is not responsible for the performance, quality, or outcome of any booking. Disputes between Brands and Stations must be resolved directly between the parties. We reserve the right, but have no obligation, to assist in dispute resolution at our discretion.

7. Station Responsibilities

Stations that list shows on BookedTV represent and warrant that:

• They have the legal right to sell sponsorship opportunities for the listed shows.
• All show information (audience size, air times, market, pricing) is accurate and kept current.
• They will fulfill accepted bookings in accordance with the terms communicated to the Brand.
• They hold all required broadcast licenses and comply with FCC regulations and applicable law.
• Sponsored content will be disclosed appropriately in accordance with FTC guidelines and broadcast regulations.

8. Brand Responsibilities

Brands using the Platform represent and warrant that:

• All information provided about their business, products, and services is accurate and not misleading.
• Their advertising content does not violate any applicable laws, infringe third-party intellectual property rights, or promote prohibited products or services.
• They will communicate professionally with Stations and honor accepted booking commitments.
• They have the authority to enter into sponsorship agreements on behalf of their business.

9. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of these Terms.
• Circumvent the Platform to conduct transactions with users you first discovered through BookedTV, in order to avoid applicable fees.
• Post false, misleading, or fraudulent information.
• Harvest or scrape data from the Platform without our written consent.
• Interfere with or disrupt the Platform's infrastructure, security, or other users' access.
• Impersonate any person or entity or misrepresent your affiliation with a person or entity.
• Use the Platform to promote illegal products, adult content, firearms, controlled substances, or other content we deem inappropriate at our discretion.

10. Intellectual Property

The Platform and all its content, features, and functionality — including but not limited to software, text, graphics, logos, and the BookedTV name — are owned by BookedTV, Inc. and protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our express written permission.

By submitting content to the Platform (including show descriptions, brand profiles, and reviews), you grant BookedTV a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating the Platform.

11. Reviews and Ratings

Users may submit reviews and ratings of shows and bookings. Reviews must be honest, based on genuine experience, and must not contain defamatory, harassing, or unlawful content. BookedTV reserves the right to remove reviews that violate these standards. We do not endorse any review and are not responsible for the accuracy of user-submitted reviews.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE MAKE NO REPRESENTATIONS ABOUT THE ACCURACY OF SHOW LISTINGS, AUDIENCE DATA, OR PRICING INFORMATION.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOOKEDTV AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO BOOKEDTV IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

14. Indemnification

You agree to indemnify, defend, and hold harmless BookedTV, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

15. Termination

We may suspend or terminate your account at any time, with or without notice, for violations of these Terms or for any other reason at our sole discretion. You may delete your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including Sections 10, 12, 13, 14, and 16) will survive.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Platform shall be resolved by binding individual arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by emailing the address on your account or by posting a notice on the Platform. Your continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms.
